1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and HomeInspectionX ("Company", "we", "us", or "our") governing your access to and use of the HomeInspectionX platform, including our website, mobile applications, software, APIs, and all related services (collectively, the "Services"). By accessing, registering for, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to all of these Terms, you must not access or use the Services.
These Terms apply to all users of the Services, including but not limited to registered home inspectors, inspection firms, administrative staff, and any other individual or entity that accesses the platform (collectively, "Users" or "you"). If you are using the Services on behalf of a company, firm, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" shall refer to that entity.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after any changes constitutes acceptance of the revised Terms.
2. Description of Services
HomeInspectionX is a software-as-a-service (SaaS) platform designed for licensed home inspectors and home inspection businesses. Our Services include:
- Report generation software with customizable templates and digital delivery
- Photo documentation storage and annotation tools
- Mobile applications for on-site inspection data collection
We do not perform home inspections ourselves. HomeInspectionX is a technology platform that enables licensed inspectors to manage their businesses. We are not a home inspection company, and we do not employ, endorse, or supervise any inspector using our platform. The quality, accuracy, and completeness of any inspection report or service provided through our platform are solely the responsibility of the individual inspector or inspection firm.
3. Account Registration and Security
3.1 Eligibility
To use the Services, you must:
- Be at least 18 years of age
- Hold a valid home inspector license or certification in the jurisdiction(s) where you conduct inspections, if required by applicable law
- Complete the registration process with accurate, current, and complete information
- Maintain the accuracy of your account information and promptly update any changes
By registering, you represent and warrant that you meet all eligibility requirements.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to:
- Use strong, unique passwords and change them periodically
- Not share your account credentials with any third party
- Notify us immediately of any unauthorized access or security breach
- Ensure that all users under your account (staff, team members, etc.) comply with these Terms
You are fully responsible for all activities that occur under your account, whether or not authorized by you. HomeInspectionX will not be liable for any loss or damage arising from your failure to secure your account.
3.3 Multi-User Accounts
If your subscription tier allows multiple users (team members, employees, or subcontractors), you are responsible for:
- Managing user permissions and access levels within your account
- Ensuring all sub-users agree to and comply with these Terms
- Removing access for users who no longer require it
- All acts and omissions of your sub-users as if they were your own
4. Subscription Plans and Billing
4.1 Subscription Tiers
HomeInspectionX offers multiple subscription plans with varying features and usage limits. Details of current plans, pricing, and features are available on our website. We reserve the right to modify plans, pricing, and features at any time, with notice provided to existing subscribers in accordance with Section 17.
4.2 Billing and Payment
- Billing Cycle: Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan.
- Payment Method: You must provide a valid payment method (credit card, debit card, or approved alternative) and authorize us to charge all applicable fees.
- Recurring Charges: By subscribing, you authorize recurring charges until cancellation. All charges are non-refundable except as expressly set forth in our Refund Policy.
- Failed Payments: If a payment fails, we may suspend your account after a reasonable grace period. You remain responsible for all outstanding amounts.
- Taxes: All fees are exclusive of applicable taxes, duties, or governmental charges. You are responsible for paying all such taxes.
4.3 Free Trials
We may offer free trial periods for new subscribers. At the end of the trial, your subscription will automatically convert to a paid plan unless cancelled. You may cancel at any time during the trial period without charge.
5. Acceptable Use Policy
5.1 Permitted Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. The Services are intended for legitimate home inspection business activities, including:
- Creating, managing, and delivering home inspection reports
- Communicating with clients, real estate agents, and other stakeholders
- Managing inspection schedules and business operations
- Storing inspection-related documentation and media
5.2 Prohibited Conduct
You expressly agree NOT to:
- Use the Services for any illegal purpose or in violation of any local, state, national, or international law
- Impersonate any person or entity, or falsely state or misrepresent your professional credentials
- Upload, transmit, or distribute any content that is defamatory, obscene, abusive, invasive of privacy, or otherwise objectionable
- Transmit any viruses, malware, or other harmful code
- Attempt to gain unauthorized access to any portion of the Services or any other systems or networks
- Interfere with or disrupt the integrity or performance of the Services
- Use automated scripts, bots, scrapers, or similar tools to access the Services
- Resell, sublicense, or commercially exploit the Services without express written authorization
- Remove or alter any proprietary notices or labels on the Services
- Collect or harvest any personally identifiable information from other users without consent
- Use the Services to create or distribute fraudulent inspection reports or documents
- Exceed any usage limits or quotas specified in your subscription plan through artificial means
5.3 Enforcement
We reserve the right to investigate and take appropriate action against any violation of this Acceptable Use Policy, including:
- Removing or disabling access to violating content
- Suspending or terminating your account
- Reporting illegal activities to law enforcement authorities
- Pursuing civil remedies for damages caused by violations
6. User Content and Data
6.1 Ownership of User Content
You retain all ownership rights to any content, data, reports, images, videos, documents, and other materials that you upload, create, or store using the Services ("User Content"). HomeInspectionX does not claim ownership of your User Content.
6.2 License to HomeInspectionX
By using the Services, you grant HomeInspectionX a limited, non-exclusive, royalty-free license to access, process, store, and transmit your User Content solely for the purpose of providing, maintaining, and improving the Services. This license:
- Enables us to host your data on our servers and cloud infrastructure
- Allows us to process inspection reports and deliver them to your clients
- Permits us to create backups and perform system maintenance
- Authorizes us to use anonymized, aggregated data for analytics and platform improvement
This license terminates when you delete your User Content or close your account, except where retention is required for backups, legal compliance, or audit purposes.
6.3 Content Responsibilities
You are solely responsible for:
- The accuracy, quality, legality, and appropriateness of all User Content
- Ensuring you have all necessary rights, licenses, and consents to upload and use User Content
- Complying with applicable privacy laws when collecting and processing client data
- Maintaining professional standards and regulatory compliance in your inspection reports
HomeInspectionX has no obligation to monitor User Content but may review it for compliance with these Terms or in response to complaints.
6.4 Data Backup
While we implement commercially reasonable backup procedures, you are responsible for maintaining independent backups of your critical User Content. We recommend regularly exporting your inspection reports and important data.
7. Intellectual Property Rights
7.1 HomeInspectionX Property
The Services and all content, features, and functionality thereof — including but not limited to software, source code, databases, text, graphics, logos, icons, images, audio, video, algorithms, workflows, template designs, and documentation — are the exclusive property of HomeInspectionX and its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
7.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during your subscription period. This license does not include:
- Modifying, copying, or creating derivative works of our software or platform
- Reverse engineering, decompiling, or disassembling any portion of the Services
- Removing or altering any copyright, trademark, or proprietary notices
- Using our trademarks, logos, or branding without express written permission
7.3 Feedback
Any feedback, suggestions, or ideas you provide regarding the Services may be used by HomeInspectionX without restriction or compensation to you. You grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose.
8. Third-Party Services and Integrations
The Services may integrate with or contain links to third-party services, including:
- Payment processors (Paddle)
- Cloud hosting and storage providers (Google Cloud, IONOS, Cloudflare R2)
- Error monitoring services (Sentry)
- Email delivery services (Resend)
Your use of any third-party services is governed by their respective terms and privacy policies. HomeInspectionX is not responsible for the availability, accuracy, or practices of any third-party services. We do not endorse and are not liable for any content, advertising, products, or other materials available through third-party services.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HOMEINSPECTIONX EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER WRITTEN, ORAL, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
- WARRANTIES THAT THE RESULTS OBTAINED FROM USING THE SERVICES WILL BE ACCURATE OR RELIABLE
- WARRANTIES REGARDING THE QUALITY OF ANY INSPECTION REPORTS, ADVICE, OR OTHER MATERIALS OBTAINED THROUGH THE SERVICES
NO INFORMATION OR ADVICE, WHETHER ORAL OR WRITTEN, OBTAINED FROM HOMEINSPECTIONX OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
9.1 Platform Nature Disclaimer
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HOMEINSPECTIONX EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER WRITTEN, ORAL, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:
- HomeInspectionX is a technology platform, not a home inspection company
- We do not employ, vet, supervise, or endorse any inspector using our platform
- We do not review, approve, or guarantee the accuracy, completeness, or quality of any inspection report created using our Services
- Any dispute regarding the quality of an inspection must be resolved directly between the inspector and their client
- Use of the Services does not guarantee compliance with any professional licensing requirements or industry standards
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HOMEINSPECTIONX, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES
- ANY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES
- ANY DAMAGES RESULTING FROM ANY INSPECTION REPORT, ADVICE, OR SERVICE PROVIDED BY ANY INSPECTOR USING OUR PLATFORM
- ANY DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
- ANY DAMAGES RESULTING FROM ERRORS, MISTAKES, OR INACCURACIES IN THE SERVICES
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF:
- THE TOTAL AMOUNT YOU PAID TO HOMEINSPECTIONX IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR
- ONE HUNDRED US DOLLARS (USD $100.00)
THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
11. Indemnification
You agree to indemnify, defend, and hold harmless HomeInspectionX, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your access to or use of the Services
- Your violation of these Terms
- Your violation of any rights of a third party, including intellectual property rights or privacy rights
- Any inspection report, advice, or professional service you provide to your clients
- Any negligence, misconduct, or malpractice in your professional activities
- Any content or data you upload, transmit, or distribute through the Services
We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.
12. Term and Termination
12.1 Term
These Terms remain in effect for the duration of your use of the Services. For paid subscribers, the term begins on the date of subscription and continues until terminated in accordance with this section.
12.2 Termination by You
You may terminate your account at any time by following the cancellation procedures in your account settings or by contacting our support team. Cancellation will take effect at the end of your current billing cycle unless otherwise specified in our Refund Policy.
12.3 Termination by HomeInspectionX
We may suspend or terminate your account and access to the Services, with or without notice, for:
- Violation of these Terms or our Acceptable Use Policy
- Non-payment of subscription fees
- Conduct that we determine, in our sole discretion, to be harmful to other users, third parties, or the business interests of HomeInspectionX
- Extended periods of inactivity
- Requests by law enforcement or other government agencies
12.4 Effect of Termination
Upon termination:
- Your right to access and use the Services immediately ceases
- All licenses granted to you under these Terms terminate
- We may delete your User Content after a reasonable retention period, subject to legal obligations
- Sections of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, indemnification, and governing law
12.5 Data Export Upon Termination
Following termination, you may request an export of your User Content within thirty (30) days. We will provide your data in a commonly used format (such as PDF, CSV, or ZIP) where technically feasible. After this period, we may delete your data in accordance with our data retention policies and applicable law.
13. Dispute Resolution
13.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us directly and attempt to resolve the dispute informally. You may contact us at [email protected]. We will make good faith efforts to resolve the dispute within thirty (30) days.
13.2 Arbitration Agreement
If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. Arbitration shall be conducted in the English language.
For users in the United States, arbitration shall take place in a location mutually agreed upon or, if no agreement is reached, in the state where the Company is headquartered.
For users outside the United States, arbitration shall take place in London, United Kingdom, unless otherwise agreed.
The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
13.3 Class Action Waiver
YOU AGREE THAT ANY PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, PRIVATE ATTORNEY GENERAL ACTIONS, OR CLASS-WIDE ARBITRATION.
13.4 Exceptions to Arbitration
Notwithstanding the foregoing, either party may bring an action in court:
- For injunctive or other equitable relief to prevent unauthorized use or abuse of the Services or intellectual property infringement
- For claims that are not subject to arbitration under applicable law
- In small claims court for claims within the court's jurisdiction
13.5 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles. For users in the European Economic Area, the mandatory provisions of the law of your country of residence shall apply where required by EU law.
14. International Use and Compliance
14.1 Availability
The Services are controlled and operated from facilities in the United States, Canada, the United Kingdom, and the European Union. We make no representation that the Services are appropriate or available for use in all locations. Users accessing the Services from other jurisdictions do so at their own initiative and are responsible for compliance with local laws.
14.2 Regional Compliance
European Union / United Kingdom: If you are located in the EU or UK, your use of the Services is also subject to our compliance with the General Data Protection Regulation (GDPR) and UK GDPR, as detailed in our Privacy Policy.
Canada: If you are located in Canada, your use of the Services is subject to compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation.
United States: If you are located in the United States, particularly California, your use of the Services is subject to compliance with the California Consumer Privacy Act (CCPA) / California Privacy Rights Act (CPRA), as applicable.
14.3 Export Controls
You may not use the Services if you are located in, or a national or resident of, any country subject to United States or other applicable governmental embargo or sanction. You represent and warrant that you are not listed on any U.S. government list of prohibited or restricted parties.
14.4 Language
These Terms are prepared in English. In the event of any conflict between the English version and any translated version, the English version shall prevail.
15. Insurance and Professional Liability
15.1 Your Insurance Obligations
As a home inspection professional using our platform, you are solely responsible for maintaining appropriate professional liability insurance (errors and omissions insurance), general liability insurance, and any other insurance required by your jurisdiction or professional standards. HomeInspectionX does not provide insurance coverage for your professional activities.
15.2 No Insurance Relationship
Your use of the Services does not create any insurance relationship between you and HomeInspectionX. We do not act as an insurance broker, agent, or provider. Any claims related to your professional services must be directed to your own insurance carrier.
15.3 Platform Limitations Acknowledgment
You acknowledge that:
- The Services are software tools and do not replace professional judgment, expertise, or diligence
- Technical limitations of the platform may affect report formatting, image rendering, or data display
- Internet connectivity issues, device malfunctions, or software bugs may occasionally disrupt service
- You are responsible for verifying the accuracy of all information before delivering reports to clients
16. Electronic Communications and Notices
16.1 Consent to Electronic Communications
By using the Services, you consent to receive electronic communications from us, including:
- Service-related notices, alerts, and updates
- Billing and payment information
- Security and privacy notifications
- Marketing communications (which you may opt out of at any time)
These communications may be sent via email, in-app notifications, or SMS where applicable.

16.3 Notices to You

Notices sent by email are deemed received twenty-four (24) hours after sending. Notices posted on the Services are deemed received upon posting.
17. Changes to Terms and Services
17.1 Modifications to Terms
We may modify these Terms from time to time. Material changes will be notified by:
- Email to the address associated with your account
- Prominent notice on our website and within the Services
- Update to the "Last Updated" date at the top of these Terms
Your continued use of the Services after the effective date of any changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services and cancel your subscription.
17.2 Modifications to Services
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, including:
- Adding or removing features, functionalities, or integrations
- Changing usage limits, quotas, or storage allocations
- Updating software, security protocols, or infrastructure
- Discontinuing support for older versions of applications or browsers
We will provide reasonable notice of material changes that materially and adversely affect your use of the Services.
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and HomeInspectionX regarding the Services and supersede all prior agreements, understandings, and representations.
18.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
18.3 Waiver
No waiver of any provision of these Terms shall be effective unless in writing and signed by the waiving party. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
18.4 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. HomeInspectionX may assign these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
18.5 Force Majeure
HomeInspectionX shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, or failure of telecommunications infrastructure.
18.6 Relationship of Parties
Nothing in these Terms shall be construed as creating an agency, partnership, joint venture, employer-employee, or franchise relationship between you and HomeInspectionX. You are an independent contractor, and nothing herein grants you authority to bind HomeInspectionX.
18.7 Third-Party Beneficiaries
Except as expressly provided herein, these Terms do not create any rights in any third party. Nothing in these Terms confers any benefit on any third party, and no third party shall have any right to enforce any provision hereof.
18.8 Headings
The headings and section titles in these Terms are for convenience only and shall not affect the interpretation of any provision.
